    • The law of the Republic of South Africa governs this Agreement. The parties irrevocably consent and submit to the non-exclusive Jurisdiction of the High Court of Cape Town, in regard to all matters arising from these Terms and Conditions.
    • These Terms and Conditions constitute the entire agreement of the parties regarding the subject matter hereof and supersedes all prior oral and written agreements.
    • No relaxation or indulgence which either Party may show to the other Party shall in any way prejudice or be deemed to be a waiver of its rights or powers hereunder nor shall any single or partial exercise of any such power or right preclude any other or further exercise thereof.
    • Each and every term of these Terms and Conditions shall be deemed to be separate and severable from the other terms hereof. If any term of these Terms and Conditions is found by any court of competent jurisdiction to be vague or invalid or unenforceable, such clause shall be treated as “pro non scripto” and shall in no way affect the validity of the remaining terms and provisions hereof.
    • A party shall not be in breach of its obligations under these Terms and Conditions and shall have no liability to pay damages or other compensation under these Terms and Conditions to the extent that it is prevented from complying with its obligations hereunder by reason of an event of Force Majeure (including an act of God or public enemy, fire, explosion, earthquake, perils of the sea, flood, storm or other adverse weather conditions, war declared or undeclared, civil war, revolution, civil commotion or other civil strife, riot, strikes, blockade, embargo, sanctions, epidemics, act of any Government or other authority, compliance with Government orders, demands or regulations, or any circumstances of like or different nature beyond the reasonable control of the party) affecting either party.
    • Nothing contained in this clause shall relieve any party from discharging its obligations under these Terms and Conditions which are not affected by an event of Force Majeure to the extent that they are lawfully able to do so. The parties shall be obliged to do everything reasonably possible to prevent, avoid, remove, mitigate or limit the duration or effects of any event of Force Majeure.
    • In the event of Force Majeure, the parties agree to consider the implications of Force Majeure in relation to the provision services and to make appropriate adjustments thereto. The party affected by the event of Force Majeure shall keep the other party fully informed of all developments and the steps taken to mitigate or remove the effects of the event of Force Majeure. If no mutually acceptable arrangement is arrived at within a period of 90 (ninety) days, we shall be entitled to terminate all of our rights and obligations in terms of or arising from these Terms and Conditions and/or any service forthwith on written notice.
